It is a confusing offer. I don't want to give up an A overall pitcher (even facing declines) if I am trying to contend. If I am not trying to contend, I am not giving up a pitching prospect.

I think he wanted the better pitcher, and was giving you a good pitcher in return that theoretically has a couple more years of tread on the tires. The thing is, your pitcher could still be better after a season or two of declines. I would decline.
